SOFTWARE LICENSE AGREEMENT

CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE LOADING THE SOFTWARE. BY PRESSING THE "I AGREE" BUTTON, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

IMPORTANT: This License is a legal agreement between you (either an individual or a single entity) and Algin Technology LLC ("Algin") for the software product identified above, which includes computer software and associated media and printed materials ("SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, promptly return the unused SOFTWARE to the place from which you obtained it for a full refund.

SOFTWARE LICENSE

1. GRANT OF LICENSE
The "Single Computer License" grants you the right to install a single copy of the SOFTWARE identified above onto one Source Computer only; you may install on the SOFTWARE on any number of Destination Computers. The license cannot be transferred to another Source Computer. The "Unlimited Site License" grants you the right to install an unlimited number of copies of the SOFTWARE on any computer located at one geographic site. The "Enterprise License" grants you the right to install the software on any computer at any of your organization's sites worldwide; if you are a contractor providing contractual support to your customers or clients, you may install the software on behalf of your contractual customers or clients as permitted in your Enterprise license addendum.

2. LIMITATIONS
You may not rent or lease the SOFTWARE. You may not reverse engineer, decompile, or disassemble the SOFTWARE.

3. UPGRADES
If the SOFTWARE is an upgrade, you may use or transfer the SOFTWARE only in conjunction with the upgraded product. You may use that upgraded product only in accordance with this License.

4. COPYRIGHT
All title and copyrights in and to the SOFTWARE, the accompanying printed materials, and any copies of the SOFTWARE are owned by Algin. The SOFTWARE is protected by copyright laws and international treaties. You must treat the SOFTWARE like any other copyrighted material except that you may (a) make copies of the SOFTWARE solely for backup or archival purposes and (b) install the SOFTWARE as described in section 1.

5. LICENSE TRANSFER
You may permanently transfer all of your rights under this License, provided that you retain no copies, you transfer all of the SOFTWARE (including the media and printed materials, any upgrades, and this License), and the recipient agrees to the terms of this License. If the SOFTWARE is an upgrade, any transfer must include all prior versions of the SOFTWARE.

6. TERMINATION, SEVERABILITY, AND ENTIRITY
You may terminate this License at any time by destroying all copies of the SOFTWARE. This License will terminate immediately without notice from Algin if you fail to comply with any provision of this License. Upon termination, you must destroy all copies of SOFTWARE. If any provision of this License is judged to be unenforceable, this License will remain in effect with the provision omitted. This License constitutes the entire agreement between you and Algin and supercedes any other oral or written agreements between you and Algin.

7. EXPORT/IMPORT REGULATIONS
The SOFTWARE delivered to you under this License may be subject to export or import regulations in the United States, the European Union, or other legal jurisdictions. You agree to comply with all such laws and regulations as applicable.

8. UNLAWFUL USE AND INDEMNIFICATION
The SOFTWARE must not be used in any manner that is in violation of any law, copyright, or license. Algin assumes no liability for any claim, litigation, suit, or legal action based in whole or in part upon your use of this software in any civil or criminal tort, including the alleged violation of any law, copyright, or license. YOU MUST AGREE TO DEFEND OR SETTLE ANY CLAIM, LITIGATION, SUIT, OR LEGAL ACTION AGAINST ALGIN BASED IN WHOLE OR IN PART UPON OR ARISING OUT OF YOUR USE OF THIS SOFTWARE IN ANY CIVIL OR CRIMINAL TORT, INCLUDING THE ALLEGED VIOLATION OF ANY LAW, COPYRIGHT, or LICENSE.

9. U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE and documentation are provided to the United States Government with RESTRICTED RIGHTS. Use, duplication, or disclosure by the US Government is subject to restrictions as set forth the Rights in Technical Data and Computer Software clause at DFARS 227.7202-1(a) and 227.7202-3(a), or FAR 12.212(a), as applicable.

10. MISCELLANEOUS
This License is governed by the laws of the State of Minnesota.

11. NO WARRANTIES

NO WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALGIN AND ITS RESELLERS DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SOME STATES AND JURISDICTIONS DO NOT ALLOW LIMITATIONS ON AN IMPLIED WARRANTY, SO THIS LIMITATION MAY NOT APPLY TO YOU.

DISCLAIMER OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALGIN OR ITS RESELLERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ALGIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
